Item 1.01 Entry Into a Material Definitive Agreement.

On April 10, 2020, Phunware, Inc. (the "Company") received loan proceeds in the amount of $2,850,336 from JPMorgan Chase, N.A. (the "Loan") pursuant to the Paycheck Protection Program ("PPP") under the Coronavirus Aid, Relief and Economic Security Act (the "Cares Act"), which was enacted on March 27, 2020.

The Loan, which was in the form of a Note (the "Note") dated April 9, 2020 matures on April 9, 2022 and bears interest at a rate of 0.98% per annum, payable monthly commencing on November 9, 2020. The Note may be prepaid by the Company at any time prior to the maturity with no prepayment penalties. Funds from the Loan may only be used for payroll costs, costs used to continue group health care benefits, rent and utilities incurred before February 15, 2020 (collectively, "Qualifying Expenses"). The Company intends to use the entire Loan amount for the Qualifying Expenses.
