ITEM 2.05 COSTS ASSOCIATED WITH EXIT OR DISPOSAL ACTIVITIES

 

On April 12, 2019, Phunware, Inc. (the “Company”), committed to organizational restructuring and cost reductions to align its subscriptions and application transactions business. To achieve these cost reductions, the Company reduced its workforce by 23 persons, or 15%. The Company currently estimates the costs related to one-time employee separation payments, which include severance and associated employer payroll taxes, to be approximately $124 thousand. The Company anticipates these payments will be made primarily in cash and paid in the second quarter of 2019. The Company estimates annualized pre-tax cost savings of approximately $2.8 million as a result of the reductions and believes these reductions will not materially impact its business or operations.
